Terms of Service

These Terms are offered by Agentiqa UG (haftungsbeschränkt), a company registered in München (Munich), Germany (Amtsgericht München, HRB 306387), focused on developing and providing software solutions for automated quality assurance using artificial intelligence, along with related consulting services.

These Terms of Service ("Terms") govern your access to and use of Agentiqa websites, desktop application, web application, mobile applications, command-line tools, browser and IDE plugins, cloud services, and APIs (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

You must provide accurate information when creating an account and keep your credentials secure. You are responsible for all activities that occur under your account. Notify us immediately at hi@agentiqa.com of any unauthorized use.

You agree not to share your account or circumvent any security or access control mechanisms.

Some features of the Service may require a paid subscription. Prices, features, and billing cycles are described on our Pricing page. By subscribing, you authorize us (or our payment processor) to charge the applicable fees and taxes. Subscriptions automatically renew unless canceled in accordance with your plan's terms.

You can cancel at any time, but payments are non-refundable except where required by law.

We may issue API keys, access tokens, or other credentials to enable programmatic access to the Service. You are responsible for keeping these credentials confidential and must not share them with unauthorized parties.

We reserve the right to revoke or rotate credentials at any time for security reasons or if we detect misuse. Compromised credentials must be reported to us immediately at hi@agentiqa.com.

The Service may allow you to provide your own API keys for third-party AI model providers ("BYOK"). When using BYOK:

• You are solely responsible for your relationship with the third-party provider, including compliance with their terms and usage policies.

• We do not store your third-party API keys beyond the duration of each test session. Keys are encrypted in transit and at rest during use.

• We are not liable for any charges, usage limits, or issues arising from your use of third-party provider keys.

The Service includes command-line interface (CLI) tools, IDE plugins (e.g., for VS Code, Cursor), and other integrations that run on your local machine. By installing and using these tools:

• You grant the tools permission to interact with the Service on your behalf using your account credentials.

• You are responsible for ensuring that only authorized users have access to your local installation.

• CLI tools and plugins are provided under the same license terms as the rest of the Service.

When you use cloud-based test execution:

• Tests run on shared cloud infrastructure managed by Agentiqa and its hosting partners.

• Test data (including screenshots, page content, and interaction logs) is processed in the cloud and retained only for the duration needed to deliver results, unless you explicitly save results to your account.

• You must not use cloud execution to test applications containing content that is illegal, harmful, or violates third-party rights.

• Cloud execution resources are subject to fair-use limits based on your subscription plan. We reserve the right to throttle or suspend access if usage significantly exceeds normal patterns.

• You retain all rights to the applications, websites, and content you test using the Service.

• Test results, screenshots, and reports generated by the Service are owned by you. We do not claim any intellectual property rights over your test data or results.

• We may use anonymized, aggregated data derived from Service usage to improve our products and services. Such data will not identify you or your tested applications.

You agree not to misuse the Service, including by:

• Reverse engineering, scraping, or interfering with the Service's normal operation

• Uploading malicious code, or attempting to gain unauthorized access

• Using the Service to violate any law or infringe others' rights

• Abusing rate limits or circumventing usage restrictions

• Using the Service to test applications you do not own or have authorization to test

• Attempting to extract training data or model weights from the AI systems used by the Service

Your use of the Service is also subject to our Privacy Policy, which explains how we collect, use, and share information.

We (and our licensors) own all rights, title, and interest in and to the Service, including software, documentation, and trademarks. You may not use our marks or content except as expressly permitted by these Terms.

The Service integrates with third-party services including authentication providers, analytics platforms, AI model providers, cloud infrastructure, and payment processors. Your use of those services is subject to their respective terms and policies, and we are not responsible for their actions or content.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL WE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE OR THESE TERMS. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE AMOUNTS YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

You agree to defend, indemnify, and hold harmless Agentiqa UG (haftungsbeschränkt) and its affiliates, officers, directors, and employees from any claims, liabilities, damages, losses, and expenses arising from your use of the Service or violation of these Terms.

We may suspend or terminate your access to the Service at any time for any conduct that we believe violates these Terms or is otherwise harmful. You may stop using the Service at any time.

Upon termination:

• Your right to use the Service will cease immediately.

• We will make your test data available for export for a reasonable period (at least 30 days), after which it may be deleted.

• Sections that by their nature should survive termination will remain in effect, including Warranty Disclaimer, Limitation of Liability, Indemnification, and Governing Law.

These Terms are governed by the laws of the Federal Republic of Germany. The exclusive place of jurisdiction for all disputes arising from or in connection with these Terms is München (Munich), Germany, to the extent permitted by law.

We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date above. Material changes will be communicated through the Service or by email. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
